reason. The provisions of paragraphs 1(Copyright & Licenses), 2(Site use),
3(Indemnification), 4(Third Party Rights) 6(Compliance of Law) and
7(Miscellaneous) shall survive any termination of this Agreement.
6.
Compliance of Law.
You
assume all knowledge of applicable law and are responsible for compliance with
any such laws. You may not use the Site in any way that violates applicable
state, federal, or international laws, regulations or other government
requirements.
7.
Miscellaneous.
The Site
is operated in the State of Iowa. As such,
www.groomsconst.com/www.groomsconstruction.com is subject to the laws of the
State of Iowa, and such laws will govern this Agreement without giving effect to
any choice of law rules. Grooms & Company Construction, Inc. makes no
representation that the Site is appropriate, legal or available for use in other
locations. Accordingly, if you choose to access the Site you agree to do so
subject to the internal laws of the State of Iowa. You agree that any legal
action or proceeding between www.groomsconst.com/www.groomsconstruction.com and
you for any purpose concerning this Agreement or the parties' obligations
hereunder shall be brought exclusively in a court of competent jurisdiction
sitting in The State of Iowa. Any cause of action or claim you may have with
respect to the Site must be commenced within one (1) year after the claim or
cause of action arises or such claim or cause of action is barred.

enforce strict performance of any provision of this Agreement shall not be
construed as a waiver of any provision or right. Neither the course of conduct
between the parties nor trade practice shall act to modify any provision of this

and duties under this Agreement to any party at any time without notice to you.
Any
rights not expressly granted herein are reserved.
